Terms of Use

These Terms of Use govern your use of Transparent Clock software and website. Please read them carefully.

1. Acceptance of Terms

By downloading, installing, or using Transparent Clock ("the Software") or accessing the Transparent Clock website ("the Website" — clock.qlynk.me), you agree to be bound by these Terms of Use. If you do not agree with any provision of these terms, you must discontinue use of the Software and Website immediately.

These terms constitute a legally binding agreement between you (the "User") and Deep Dey / QuickLink (the "Owner").

2. Description of Service

Transparent Clock is a free, offline*-first desktop clock overlay and focus companion application designed for Windows 10/11. The Software provides the following features:

  • Clock Overlay: An always-on-top transparent clock display
  • Pomodoro Timer: Focus session management with customizable work/break cycles
  • To-Do Manager: Local task management and organization
  • Focus Insights: Analytics and tracking of study/work sessions
  • Dashboard: Centralized view of all productivity tools
  • Utilities (Online): QR code generation/scanning and URL shortening (requires internet connection)

* The core functionality operates offline. Only specific utilities require internet connectivity.

3. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Software subject to the following conditions:

  • You may download and install the Software for personal, educational, or non-commercial purposes.
  • You may use the Software on any number of devices you personally own or control.
  • You may share the official download link (clock.qlynk.me, GitHub, or Uptodown) with others.
  • You may report bugs, suggest features, or provide feedback via GitHub Issues or email.
  • You may view the source code on GitHub for security review or educational study purposes only.

4. Prohibited Use

The following actions are strictly prohibited and constitute a violation of these Terms of Use:

  • Redistribution: You may NOT redistribute, resell, sublicense, or re-upload the Software or any part of it to any other platform, website, or distribution channel.
  • Modification: You may NOT modify, alter, decompile, reverse-engineer, disassemble, or create derivative works based on the Software.
  • Code Reuse: You may NOT copy, extract, or reuse any part of the source code in your own projects, even if the code is publicly viewable on GitHub.
  • Removal of Attribution: You may NOT remove, alter, or obscure any copyright notices, branding, watermarks, or credits.
  • Commercial Use: You may NOT use the Software, or any part of it, for commercial purposes without explicit written permission.
  • Malicious Use: You may NOT use the Software for any unlawful, harmful, fraudulent, or malicious purpose.
  • False Claims: You may NOT claim ownership, authorship, or creation of the Software or imply any affiliation with the Owner without permission.

Violation of these prohibitions may result in legal action and termination of your license.

5. User Obligations

As a user of the Software and Website, you agree to:

  • Use the Software in compliance with all applicable local, state, national, and international laws and regulations.
  • Not interfere with or disrupt the integrity, performance, or functionality of the Software or Website.
  • Not attempt to gain unauthorized access to any systems or networks related to the Software or Website.
  • Report any security vulnerabilities or bugs responsibly via GitHub Issues or email.
  • Respect the intellectual property rights of the Owner and third parties.

6. Software Updates and Changes

The Owner reserves the right to:

  • Update, modify, or improve the Software at any time without prior notice.
  • Discontinue the Software or any features at any time.
  • Change the terms of distribution or availability.

Continued use of the Software after updates or changes constitutes acceptance of those updates and any revised terms.

7. No Warranty

The Software and Website are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Warranties that the Software will be error-free, uninterrupted, or free from viruses or harmful components.
  • Warranties that defects will be corrected or that updates will be provided.

The Owner makes no representations or warranties regarding the accuracy, reliability, or completeness of the Software or Website content.

8. Limitation of Liability

To the fullest extent permitted by law, Deep Dey, QuickLink, and any affiliated parties shall NOT be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

  • Your use or inability to use the Software or Website.
  • Any errors, bugs, or defects in the Software.
  • Loss of data, profits, revenue, or business opportunities.
  • Unauthorized access to or alteration of your data.
  • Third-party actions or content.

You use the Software entirely at your own risk. Some jurisdictions do not allow the exclusion of certain warranties or liabilities, so some limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Deep Dey, QuickLink, and their affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

  • Your use or misuse of the Software or Website.
  • Your violation of these Terms of Use.
  • Your violation of any rights of a third party.
  • Any content you generate or transmit using the Software.

10. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any provision of these Terms of Use.

Upon termination:

  • You must cease all use of the Software and Website.
  • You must delete or destroy all copies of the Software in your possession.
  • Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification shall survive termination.

The Owner reserves the right to refuse service or access to anyone at any time for any reason.

11. Age Requirement

There is no specific age restriction for using Transparent Clock. However, minors (individuals under 18 years of age) should obtain parental or guardian consent before downloading or using the Software.

12. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in India.

13. Modifications to Terms

The Owner reserves the right to modify, update, or replace these Terms of Use at any time. Changes will be effective immediately upon posting on the Website.

Your continued use of the Software or Website after any changes constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.

The version number and last updated date at the top of this document will be updated with each revision.

14. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Use, together with the Privacy Policy, Copyright Notice, DMCA Policy, and License Agreement, constitute the entire agreement between you and the Owner regarding the use of the Software and Website.
